These Terms of Use (“Terms”) govern access to the website https://orderly.com.ua/, use of the Orderly service, contact forms, consultations, setup services, integrations with marketplaces, telephony, Telegram notifications, and other related features.
By using the website, submitting an inquiry, connecting an integration, or using Orderly, you confirm that you have read, understood, and agree to these Terms.
1. Definitions
In these Terms:
- Orderly, the Service, we, us means the Orderly service provided by Sole Proprietor Palian O.M.
- User, you means an individual, sole proprietor, company, or business representative who visits the website, submits an inquiry, connects an integration, or uses the Service.
- Store means an online store, seller account, or other sales channel that the user connects or intends to connect to Orderly.
- Integration means a technical connection between Orderly and a third-party platform or service, including Etsy, Prom.ua, Horoshop, Telegram, telephony, CRM, or other tools.
- Order Data means information required for operational order processing, including statuses, products, delivery data, buyer contact details within an order, technical identifiers, and other similar data.
2. What Orderly Is
Orderly helps sellers automate operational workflows of an online store, including:
- inquiry and order processing;
- status synchronization;
- operational Telegram notifications;
- support for telephony or other communication channels;
- transfer of technical or operational information between connected services;
- other automations agreed with the user.
Orderly is not a marketplace, payment system, delivery service, legal advisor, accounting service, or representative of Etsy, Prom.ua, Horoshop, or any other third-party platform.
3. Who May Use the Service
Orderly is intended for business users, sole proprietors, online store teams, and other persons using the Service in connection with commercial or professional activities.
The Service is not intended for household, personal, or consumer use. Unless expressly agreed in writing, the user confirms that they use Orderly for entrepreneurial, commercial, or professional activities, and not as a consumer for personal needs.
By using the Service, you confirm that:
- you are at least 18 years old;
- you have the right to act on your own behalf or on behalf of the business you represent;
- the information you provide is current, accurate, and complete;
- your use of Orderly does not violate the rules of the platforms you connect or applicable law.
4. Inquiries, Consultations, and Setup
On the Orderly website, a user may submit an inquiry through the contact form. After receiving an inquiry, we may contact you to clarify your needs, demonstrate Service capabilities, agree on the setup format, or provide a consultation.
Submitting an inquiry does not automatically create an obligation for Orderly to provide the Service, perform an integration, or accept the user for service. We may refuse setup or stop communication if the request is technically impossible, incompatible with the purpose of the Service, risky, made in bad faith, or may violate the rules of third-party platforms or applicable law.
Specific setup terms, scope of work, timelines, pricing, payment method, and support may be agreed separately in written communication, an agreement, invoice, or another mutually accepted format.
In the event of any discrepancy between these Terms and a separate written agreement or individually agreed terms with the user, such separate agreement or individually agreed terms prevail.
5. Accounts, Access, and Integrations
To operate certain features, Orderly may require connection to third-party platforms through official APIs, access tokens, OAuth authorization, or other permitted mechanisms.
The user is responsible for:
- the lawfulness of connecting the relevant store or account;
- having the necessary administrator or owner rights;
- the accuracy of provided settings;
- the security of their own accounts, devices, email, Telegram chats, and other access channels;
- timely revocation of access if the user no longer wishes to use the relevant integration.
We do not request and should not receive passwords for Etsy, Prom.ua, Horoshop, banking services, or other third-party platforms. If access is required for an integration, it must be provided through the official mechanism of the relevant platform or another agreed secure method.
6. Acceptable Use
The user agrees to use Orderly in good faith, lawfully, and in accordance with the purpose of the Service.
You must not:
- use Orderly for fraud, spam, unlawful marketing, or violation of third-party rights;
- connect accounts, stores, or data for which the user does not have proper rights;
- attempt to bypass technical restrictions, security mechanisms, or third-party platform rules;
- use the Service for scraping, unauthorized data collection, mass copying of content, or actions prohibited by the rules of connected platforms;
- transmit malicious code, false information, or data that the user has no right to process through the Service;
- use Orderly in a way that may disrupt the stability, security, or reputation of the Service or third-party platforms.
7. Data, Privacy, and Security
Personal data processing within Orderly is governed by the separate Orderly Privacy Policy, available at https://orderly.com.ua/privacy.
The user confirms that they have proper grounds to transfer or provide access to Order Data, buyer data, contact details, and other information processed through the Service.
Where Orderly processes buyer or order data on behalf of the user, the user is usually the controller of such data in relation to its buyers, and Orderly acts as a processor within the technical provision of the Service.
We apply reasonable technical and organizational security measures, but we cannot guarantee absolute security of data transmission or storage over the internet.
8. Telegram, Telephony, and Operational Notifications
Orderly may send operational notifications to a Telegram chat, channel, or other channel agreed with the user.
The user is responsible for ensuring that only authorized persons have access to such chats or channels. If third parties are present in a Telegram chat or other channel, Orderly is not responsible for disclosure of information to such persons as a result of settings chosen by the user.
If the Service integrates with telephony or other communication channels, the user is responsible for complying with applicable rules regarding communication with customers, call recording, messages, consents, and marketing restrictions.
9. Etsy and Other Third-Party Platforms
Orderly may integrate with Etsy through the official Etsy Open API using OAuth 2.0, if such integration is available and connected by the user.
The user understands that:
- Etsy, Prom.ua, Horoshop, Telegram, Cloudflare, Google Cloud Platform, and other third-party services are independent providers;
- use of such services is governed by their own rules, policies, and technical restrictions;
- Orderly does not control third-party platforms, their APIs, availability, pricing, moderation decisions, rule changes, or account restrictions;
- the user is solely responsible for complying with the rules of the platforms connected to Orderly.
Orderly does not use screen scraping, Etsy page parsing, or unofficial methods to obtain Etsy data. Etsy data is processed only through the official Etsy API in accordance with permissions granted by the seller.
The user must not use Orderly to transfer, sell, rent, or provide access to data obtained through the Etsy API to data brokers, marketing agencies, advertising platforms, or other third parties in a way that violates Etsy rules or applicable law.
The term “Etsy” is a trademark of Etsy, Inc. This Service uses the Etsy API but is not endorsed, certified, or supported by Etsy, Inc.
Etsy disclaimer: this application is solely provided by Sole Proprietor Palian O.M. as the developer and provider of Orderly. You acknowledge that Etsy, Inc. and its affiliates are not the developer of this application, do not provide the Orderly service, and make no warranties of any kind with respect to Orderly or data accessed through it.
10. Fees, Payment, and Taxes
If certain Orderly features are provided on a paid basis, the price, payment method, payment frequency, and taxes are agreed separately with the user.
Unless otherwise agreed in writing:
- prices may depend on the scope of work, number of integrations, setup complexity, or support level;
- the user is responsible for timely payment of agreed services;
- refunds, where applicable, are determined by a separate agreement with the user or by the requirements of applicable law;
- third-party platforms, including Etsy, are not responsible for invoicing, accepting payments, or tax obligations related to Orderly.
11. Support, Changes, and Availability
We strive to maintain stable operation of Orderly, but the Service may be temporarily unavailable due to maintenance, updates, infrastructure failures, third-party API limitations, provider actions, or other reasons.
We may change, update, limit, or discontinue individual Service features if needed for security, stability, compliance with third-party platform rules, product development, or legal requirements.
We do not guarantee that the Service will always be uninterrupted, error-free, or compatible with all future changes to third-party platforms.
12. Force Majeure
The parties are not liable for failure to perform or improper performance of obligations if caused by force majeure circumstances, including military actions, armed aggression, a state of emergency or martial law, power outages, damage to telecommunications infrastructure, cyberattacks, natural disasters, acts of public authorities, or other events beyond the reasonable control of the affected party.
The party affected by such circumstances will notify the other party through an available channel within a reasonable time, where such notification is practically possible given the nature of the relevant circumstances.
13. Intellectual Property
Orderly, the Service structure, texts, design, software code, automation logic, documentation, and other materials created by us belong to us or are used by us on lawful grounds.
The user does not acquire ownership rights to Orderly or its components. The user receives a limited, non-exclusive, revocable right to use the Service in accordance with these Terms and agreed arrangements.
The user retains rights to its own data, store data, product data, order data, and buyer data, provided that such data does not violate third-party rights.
14. Warranty Disclaimer
Orderly is provided within the functionality actually available. We make reasonable efforts to provide a quality Service, but we do not warrant that:
- the Service will be available continuously or without errors;
- all integrations will continue to operate without failures after changes to third-party APIs or platform rules;
- automation will fully replace manual review of orders, statuses, messages, or delivery data;
- the results of using the Service will meet all user expectations.
The user is solely responsible for reviewing important orders, messages, statuses, financial data, delivery addresses, and other critical operational data.
15. Limitation of Liability
To the maximum extent permitted by applicable law, Orderly is not liable for:
- indirect damages, lost profits, lost sales, reputational losses, or loss of expected benefit;
- errors, failures, delays, or unavailability of third-party platforms, APIs, hosting, Telegram, telephony, marketplaces, or payment services;
- consequences of incorrect settings provided by the user;
- actions or omissions of employees, contractors, or other persons to whom the user has granted access to its accounts, chats, or channels;
- blocking, restrictions, or other decisions of third-party platforms regarding the user’s accounts.
If Orderly’s liability cannot be fully excluded under the law, it is limited to the greater of the following amounts: the amount actually paid by the user for the Service during the three calendar months preceding the event giving rise to the claim, or UAH 5,000, unless otherwise expressly required by applicable law or a separate written agreement.
16. Indemnification
The user agrees to indemnify Orderly for losses, expenses, claims, or third-party demands arising from:
- the user’s breach of these Terms;
- unlawful or bad-faith use of the Service;
- violation of Etsy, Prom.ua, Horoshop, or other connected platform rules;
- transfer to Orderly of data that the user had no right to transfer;
- violation of the rights of buyers, customers, employees, contractors, or other third parties.
17. Termination of Use
The user may stop using Orderly and revoke access to connected platforms at any time, unless otherwise provided by separate arrangements.
We may suspend or terminate provision of the Service if:
- the user violates these Terms;
- use of the Service creates a risk to the security, stability, or reputation of Orderly;
- the user violates third-party platform rules;
- the user fails to pay for agreed services;
- continued provision of the Service becomes technically, legally, or commercially impossible.
After termination of use, certain provisions of these Terms remain effective to the extent required by their nature, including provisions on payment, intellectual property, limitation of liability, confidentiality, indemnification, and dispute resolution.
After termination of use, processing, retention, and deletion of personal data are handled in accordance with the Orderly Privacy Policy and the retention periods stated in it.
18. Assignment
We may transfer rights and obligations under these Terms to a successor in the event of reorganization, change of legal form, transfer of business, sale of the project, or another similar change, by notifying the user through an available channel.
The user may not transfer its rights or obligations under these Terms to a third party without our prior written consent, unless otherwise provided by a separate agreement.
19. Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in effect. The invalid or unenforceable provision will be applied to the maximum extent permitted or replaced by a provision that most closely reflects its original purpose.
20. Changes to These Terms
We may update these Terms from time to time. A new version becomes effective when published on the website, unless otherwise stated in the updated version.
In the event of material changes, we may notify users through an available channel, such as the website, email, or another communication channel.
Continued use of Orderly after the updated Terms become effective means the user’s acceptance of the updated version.
21. Applicable Law and Dispute Resolution
These Terms are governed by the laws of Ukraine, unless another applicable law of another jurisdiction expressly requires otherwise.
The parties seek to resolve disputes through negotiation and good-faith communication. If a dispute cannot be resolved through negotiation, it will be considered by a competent court in accordance with the laws of Ukraine.
